Terms of Use

Welcome to Spexsol. These Terms of Use ("Terms") govern your access to and use of the Spexsol website, mobile applications, and related services (together, the "services") provided by SpexSol s. r. o. ("Spexsol", "we", "us", "our"). By accessing or using any part of the services, you agree to be bound by these Terms together with our Privacy Policy. If you do not agree, please do not use the services.

These Terms form a binding agreement between you and Spexsol. We may update them from time to time; the version published on this page is always the one in force. Continuing to use the services after an update means you accept the revised Terms.

Spexsol is provided for personal and professional use in line with applicable law. You are responsible for how you use it.

• 01You must be at least 16 years old, or the minimum age required in your jurisdiction, to use the services on your own behalf.
• 02You agree not to misuse the services, including by attempting to disrupt them, gain unauthorised access, scrape data without permission, or use them in any way that violates applicable law.
• 03You are responsible for the content you submit and for ensuring it does not infringe the rights of any third party.

Some of our services may currently be used without an account. In the future, certain features may require you to create an account. If and when you create one, you agree to provide accurate information, to keep your credentials confidential, and to be responsible for all activity that takes place under your account. You must notify us promptly of any unauthorised use. We may suspend or terminate accounts that breach these Terms.

Some features of our iOS applications are offered as paid subscriptions or in-app purchases. All payments, billing, renewals, and refunds for purchases made through the App Store are processed by Apple in accordance with the terms of your Apple ID account, and not by Spexsol.

Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current period. You can manage and cancel subscriptions in your Apple ID account settings. Cancellation takes effect at the end of the current billing period; previously charged amounts are non-refundable except where required by law or by Apple's policies.

Prices, features, and the scope of free and paid tiers may change. Where required, we will notify you of material changes before they take effect.

The following terms apply to any Spexsol application you obtain from the Apple App Store (the "App"). These terms are required by Apple Inc. ("Apple") and apply in addition to the rest of these Terms.

• 01These Terms are concluded between you and Spexsol only, and not with Apple. Spexsol, not Apple, is solely responsible for the App and its content.
• 02Apple grants you a non-transferable licence to use the App on any Apple-branded device that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
• 03Apple has no obligation to provide any maintenance or support for the App.
• 04Apple is not responsible for any product warranties, whether express or implied by law. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App; to the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the App.
• 05Spexsol, not Apple, is responsible for addressing any claims relating to the App or your use of it, including (i) product liability claims, (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement, and (iii) claims arising under consumer protection or similar legislation.
• 06In the event of any third-party claim that the App or your use of it infringes that third party's intellectual property rights, Spexsol — not Apple — is solely responsible for the investigation, defence, settlement, and discharge of the claim.
• 07You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• 08Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

The services may rely on or link to services, content, or websites operated by third parties. We do not control such third-party services and are not responsible for their content, policies, or practices. Your use of any third-party service is at your own risk and may be subject to that third party's own terms.

The services are provided "as is" and "as available" without warranties of any kind, whether express or implied. Spexsol does not guarantee that the services will be uninterrupted, error-free, or fit for any particular purpose.

To the fullest extent permitted by law, Spexsol shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the services. Our total liability for any claim relating to the services is limited to the greater of (a) the amount you paid us, if any, in the twelve months preceding the claim, or (b) EUR 50.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

To the extent permitted by applicable law, you agree to indemnify and hold Spexsol and its affiliates, officers, employees, and agents harmless from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your misuse of the services, your breach of these Terms, or your violation of any law or third-party right.

We may suspend or terminate your access to the services at any time if you breach these Terms or use the services in a way that could harm Spexsol, other users, or third parties. You may stop using the services at any time. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

We may revise these Terms to reflect changes in our services, applicable law, or business practice. When we do, we will update the "Last updated" date at the top of this page. Material changes will be communicated through the services or by other reasonable means.

If you use the services as a consumer in the European Union, nothing in these Terms limits or excludes any mandatory consumer rights you have under the laws of your country of residence, including under Slovak consumer protection law. Where any provision of these Terms conflicts with such mandatory rights, the mandatory rights prevail.

The European Commission provides an online dispute resolution platform for consumers, available at https://ec.europa.eu/consumers/odr.

These Terms are governed by the laws of the Slovak Republic, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall be resolved by the competent courts of the Slovak Republic, without prejudice to any mandatory consumer protection rules of your country of residence.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Spexsol regarding the services and supersede any prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
